Untap AI Affiliate Program Agreement

Effective Date: May 2nd, 2025

Company: Untap LLC ("Untap AI", "we", "our", or "us")

Affiliate: You, the applicant, upon acceptance into our program ("Affiliate", "you", or "your")

1. Parties and Relationship

This Agreement is entered into by Untap AI LLC and the Affiliate.

You acknowledge that this is a non-exclusive, independent contractor relationship. You are not an employee, agent, or representative of Untap AI, and shall not present yourself as such. You are granted a limited, revocable right to promote Untap AI's services and earn commissions based on qualified referrals.

2. Commissions and Payment Terms

Affiliates will receive a 20% recurring commission for each customer that:

• Uses your unique affiliate tracking link (or other tracking method),
• Signs up for an Untap AI paid subscription,
• And remains a paying customer through any refund or trial window as specified in your individual terms.

Forever Commissions: Your 20% commission continues for as long as the referred customer remains a paying subscriber to Untap AI. This creates an ongoing passive income stream that can last for years.

Payment Terms:

• Schedule: Commissions are paid weekly for all active subscriptions referred by you. Payment is sent every Friday for commissions earned during the previous week.
• No Minimum Threshold: There is no minimum balance required for payment. All earned commissions are paid out weekly.
• Method: Payments are sent via PayPal.
• Refunds/Chargebacks: If a customer is refunded or disputes payment, the commission for that payment will be forfeited or clawed back.

All terms of the commission structure must be confirmed in writing and approved by Untap AI before promotion begins.

3. Affiliate Responsibilities and Compliance

You agree to:

• Follow ethical marketing practices and promote Untap AI in good faith.
• Clearly disclose that your links may result in a commission, in accordance with FTC guidelines.
• Avoid prohibited behaviors, including:
  • Misleading or exaggerated claims about Untap AI or its capabilities
  • Mass unsolicited email (spam)
  • Bidding on our brand name or trademarked terms in search engines
  • Using false identities or impersonating Untap AI
• Comply with all applicable laws, including GDPR, CAN-SPAM, CCPA, and advertising regulations.

4. Intellectual Property and Branding

Untap AI retains full ownership of its platform, branding, content, and any associated intellectual property.

You are granted limited use of Untap AI's name, logo, and materials solely for affiliate promotion purposes, under these conditions:

• You may not alter, copy, reproduce, reverse engineer, or recreate any part of Untap AI's product, platform, or brand assets.
• You may not alter or recreate our branding or assets.
• You may not present yourself as an employee, co-founder, or official representative of Untap AI.
• You must adhere to any brand guidelines we provide.
• We reserve the right to revoke permission to use our branding at any time.

All use of our name or content must reflect positively and accurately on Untap AI.

5. Termination and Breach

Either party may terminate this Agreement at any time, for any reason, by providing written notice.

Immediate termination may occur if you:

• Violate the terms above
• Engage in fraud or misrepresentation
• Infringe on our IP or use prohibited marketing tactics

Commission Continuation: If this agreement is terminated without cause and you have complied with all terms, you may continue to receive commissions for customers you referred prior to termination, for as long as they remain active subscribers. However, you will no longer be able to refer new customers after termination.

In case of termination due to breach:

• Pending and future commissions may be withheld if associated with a breach
• No further payouts will be made unless otherwise agreed in writing

6. Modifications

We may update this Agreement at any time. Continued participation after such updates constitutes acceptance of the new terms.
